MEMBERSHIP LICENSE AGREEMENT

What makes us Impact Hub

This Membership License Agreement (“Agreement”) is made between Hub Seattle LLC (“Hub Seattle”) and the Hub Seattle Member (“Member”).

Memberships : Hub Seattle agrees to provide nonexclusive access to co-working areas and related amenities in designated areas based on various levels of access, pricing and benefits (“Memberships”) as specified on the impacthubseattle.com website. Member has chosen a specific Membership during the application procedure.

Account : Hub Seattle will provide Members with access to Hub Seattle’s Member Portal through personal login credentials.

Access to Common Areas : Members shall have nonexclusive access to such areas of the buildings located at 220 + 240 2nd Ave S, Seattle, WA 98104 as Hub Seattle may from time to time designate as “Common Areas”, which shall include shared workspace, kitchens, event areas, phone rooms, entrance lobby, corridors, elevators, stairways, bike storage, showers, and other areas. Certain locations within the Common Area are generally available as “first-come, first-served” basis, while certain others may require the Member to scheduling access or pay a usage fee.

Shared Use : Hub Seattle offers event services, expositions, meetings, conferences and other gatherings to both Members and non-Members. Member acknowledges and agrees that certain parts of the Common Areas might be assigned for such uses either temporary or on an ongoing basis, which may condition or preempt Member’s access to such area at such times.

Guests : Members may invite non-Member Guests (“Guests”) to the Common Areas. Guests shall adhere to Hub Seattle’s 2-hour guest policy and Member shall be solely responsible for their Guest(s).

Additional Services at Member Rates : Hub Seattle offers rental of conference rooms, event space rental, storage rental, furniture rental, mailboxes and mail service, additional keycards and any other services at an additional cost. Members may benefit from reduced rates for these services when applicable, as displayed on the impacthubseattle.com website and booking services in the Member Portal.

Terms & Conditions : By accepting this document, Member agrees to Hub Seattle’s terms and conditions and privacy policy which may be modified from time to time and are available on the impacthubseattle.com website. Whenever this these documents are modified Hub Seattle will signify changes have been made by updating the month, day, and year currently displayed in the respective documents.

Last updated on June 20th, 2017. Whenever our Terms and Conditions (“Terms”) are modified we will signify that changes have been made by updating the month, day, and year currently displayed in this statement. This document is always available on the impacthubseattle.com website.

Definitions :

  • Impact Hub, Hub, or Hub Seattle refers to Hub Seattle, a Washington state LLC.
  • A Member refers to any individual that has agreed to entering a Membership License Agreement with Hub Seattle, either through signing up via Hub Seattle’s Member Portal or the Membership Application for employees of an organization entering into a sublease agreement.
  • Guests refers to any non-Member individual (client, customer, contractor, or otherwise) that is invited to Hub Seattle by a Member.
  • Hub Visitors refers to individuals visiting Hub Seattle not qualifying as a Member or Member Guest.
  • The Premises refers any part of the buildings located on 220 + 240 2nd Ave S, Seattle, WA 98104 in use by Hub Seattle, not limited to Common Areas.
  • Common Areas refer to such areas of the buildings located at 220 + 240 2nd Ave S, Seattle, WA 98104 as Hub Seattle may from time to time designate as “Common Areas”, which shall include shared workspace, kitchens, event areas, phone rooms, entrance lobby, corridors, elevators, stairways, bike storage, showers, and other areas.

Membership Benefits : Hub Seattle offers various Memberships with respective pricing and benefits, as specified on the impacthubseattle.com website. Benefits may change at the sole discretion of Hub Seattle.

Guest Policy : Members may invite Guests to Hub Seattle and Guests may use the Common Areas and related amenities for up to a 2-hour period. After that, Guests will be required to purchase a day-pass. Member will be solely responsible for Member Guests and will ensure compliance with Hub Seattle’s policy as outlined in this document and all applicable laws and regulations.

Pricing : Membership costs will be displayed in the impacthubseattle.com website. Hub Seattle, in its sole discretion and at any time, may modify the Membership pricing. Any pricing change will become effective at the end of the then-current billing cycle.

Billing : Payments for Memberships are due in advance, on the 1st of the month, will be billed monthly until canceled, are non-refundable, and non-transferable. A valid U.S. credit or debit card is required for Memberships, with accurate and complete billing information including full name, address, state, zip code, telephone number, and valid payment method information. By submitting such payment information, Members automatically authorize Hub Seattle to charge all fees incurred through an account to any such payment instruments.

Termination : Members may cancel Membership renewals through their personal page in the Hub Seattle Member Portal or in writing to billing@impacthubseattle.com. Cancellations and downgrades in Memberships must be made prior to the end of the month for changes to take effect the following month. Retroactive changes are not allowed.

Termination of 6-month commitments : Members with a 6-month commitment will incur a penalty equal to the cost of one month’s Membership upon terminating their Membership, plus reversal of all applicable discounts for the months they were applied.

Termination of Fixed Desk Membership : Members with a Fixed Desk Membership have a 1-month notice period for Membership cancellations.

Access to Common Areas : Members shall have nonexclusive access to such areas of the buildings located at 220 + 240 2nd Ave S, Seattle, WA 98104 as Hub Seattle may from time to time designate as “Common Areas”, which shall include shared workspace, kitchens, event areas, phone rooms, entrance lobby, corridors, elevators, stairways, bike storage, showers, and other areas. Certain locations within the Common Area are generally available as “first-come, first-served” basis, while certain others may require the Member to scheduling access or pay a usage fee.

Member must maintain any private area and all common areas in a neat, clean and in a sanitary condition. The card and key(s) that Member is being provided are exclusively for Member’s purposes and will not be shared with anyone else without Hub Seattle’s express written permission. Member understands and agrees that a $20 payment will be required to cover each card and/or key given. Any signs, symbols, or pictures that Member wishes to place in the windows or doors or upon any interior part of the building shall be subject to the approval of Hub Seattle.

Accounts : Members shall have access to a personal Member Portal account. When creating an account with Hub Seattle, Member guarantees that to be above the age of 18, and that the information provided us is accurate, complete, and current at all times. Inaccurate, incomplete, or obsolete information may result in the immediate termination of the Membership. Members are responsible for maintaining the confidentiality of their account and password, and agrees to accept responsibility for any and all activities or actions that occur under Member’s account and/or password. Member must notify us immediately upon becoming aware of any breach of security or unauthorized use of your account.

Network Access : Hub Seattle provides 1GB of shared fiber internet through wired wall ports and wireless access and makes all reasonable effort to ensure individual access to shared 1GB fiber connection and guarantee availability 99.99% of the time with the exception of planned maintenance windows. Hub Seattle does not guarantee internet connectivity or bandwidth. Planned outages and maintenance windows will occur after regular business hours and with 24 hours’ notice when at all possible. Under no circumstance does Hub Seattle guarantee upkeep personal wireless equipment. Use of internet is intended for legal nature only. Member agrees to assume all legal liability for activity traversing their data connection adhering to local, state and federal laws.

Liability : Neither Hub Seattle nor their respective agents shall be liable for, and Member agrees to defend and hold Hub Seattle and their respective agents harmless from, any claim, action and/or judgment for damages to property or injury to persons suffered or alleged to be suffered on the Premises by any person, firm or corporation, except to the extent of Hub Seattle’s negligence or willful misconduct. Member shall indemnify, defend and hold Hub Seattle harmless from and against all loss, cost and expense, including reasonable attorney’s fees, arising from any negligent act or omissions or willful misconduct of Member or its officers, contractors, licensees, agents, servants, employees, guests, invitees or visitors in or about the Premises.

The foregoing provisions shall not be construed to make Member responsible for loss, damage, liability or expense resulting from injuries to third parties to the extent caused by the negligence or intentional misconduct of Hub Seattle or their officers, contractors, licensees, agents, employees of other tenant of the Property.

Member specifically and expressly waives any immunity it may be granted it under the Washington State Industrial Insurance Act, Title 51 RCW: Member’s indemnity obligations under this lease shall by be limited by any limitation on the amount or type of damages, compensation or benefits payable to or for any third party under the Worker Compensation Acts, Disability Benefit Acts or other employee benefit acts. This paragraph has been specifically and mutually negotiated by the parties.

Rules of Conduct : Members, Member Guests and Hub Visitors are required to comply with the following rules of conduct to ensure a safe environment and shall not: a) maintain or store any inventory of goods on the Premises; b) conduct illegal activities on or about the Premises; c) use the Premises for illegal purposes; d) tamper with, borrow, or remove property kept in another Member’s area without their express permission; e) cause or permit any hazardous substance to be used, stored, generated, released or disposed of on the Premises. “Hazardous” shall be determined in sole discretion of Hub Seattle; f) act in a manner that, in Hub Seattle’s sole discretion, does or is likely to adversely affect the peaceful operation and enjoyment of the Premises of Hub Seattle, including without limitation creating any unreasonable disturbance to occupants of the Hub Seattle Premises or the greater building or their employees, Member Guests, Hub Visitors, or others; g) allow non-members or Member Guests access to the building after hours without continuous accompaniment and for express business purposes, such as a meeting.

PRIVACY POLICY

Personally Identifiable Information : Hub Seattle (through iimpacthubseattle.com and otherwise) receives and stores any personally identifiable information provided to us in any way (such as names, street addresses, telephone numbers and email addresses). Hub Seattle may also keep a record of any correspondence. Such information is only known to Hub Seattle when it is voluntarily submitted or posted.

Personally identifiable information will only be shared with third parties to further the purpose for which it is provided or when Hub Seattle believes in good faith that the law requires it, or to protect the rights of Hub Seattle or its affiliates or subscribers. Personally identifiable information will be used by Hub Seattle and its authorized agents only: a) to process requests (e.g., answer questions, signing up for day passes, conference room hours, memberships, etc.); b) to communicate or personalize the impacthubseattle.com website based on stated interests and preferences or make related offers; c) to administer the impacthubseattle.com website or answering questions or problems; d) to place names, profiles, and contact information on the internal member network for connection with other Members; e) to place names and profiles (including social media links and/or individually provided profile information) on the imacthubseattle.com external website; f) to track Member’s presence in Hub Seattle and allow Members to make visible on our internal website when they are logged in to our network; g) as may, in Hub Seattle’s sole judgment, be required by any applicable laws, rules or regulations.

Merchant Services : Hub Seattle strives to offer its visitors a secure and safe environment for credit card purchases. Some of the payment and fulfillment services may be operated by third party merchant service providers who collect personally identifiable information necessary to accept and process orders on behalf of Hub Seattle.

Personally identifiable information entered into any of Hub Seattle’s payment systems is used only to complete transactions and never revealed to others or used by merchant service providers for any purpose not authorized by Hub Seattle. Hub Seattle’s merchant service providers do not own the personally identifiable information they collect. However, as authorized by Hub Seattle, our merchant service providers will provide personally identifiable information in response to legitimate subpoenas or other appropriate law enforcement activities.

Credit card information provided to buy services or merchandise is used solely to determine that this information is valid, that sufficient credit is available to pay for the purchase and to apply the cost of the purchase when the services are rendered. Credit card information provided is transmitted across the Internet securely using encryption from personal browsers to our merchant service providers’ secure order processing systems. Unfortunately, no data transmission over the Internet can be guaranteed to be 100% secure. Consequently, while merchant service providers are committed to protecting personal information, they cannot entirely ensure or warrant the security of any information transmitted to them.

Service Providers : Services offered by third parties are referred to as external service providers. When using these separate services, disclosing information to the external service providers, and/or granting permission to collect information, the use of personal information is governed by their privacy policy. Hub Seattle does not disclose personal information to external service providers without explicit consent.

Hub Seattle may use third parties that are referred to as internal service providers to facilitate or outsource one or more aspects of the business, product and service operations that provided to Members and therefore may be provided personal information directly. These internal service providers are subject to confidentiality agreements and other legal restrictions that prohibit use of the information provided for any other purpose except to facilitate the specific outsourced operation, unless explicitly agreed or given prior permission for additional uses.

Security : Unfortunately, no data transmission over the Internet can be guaranteed to be 100% secure. As a result, while Hub Seattle strives to protect personal information, Hub Seattle cannot ensure or warrant the security of any information. Hub Seattle uses reasonable efforts to ensure that collected personally identifiable information is secure and not readily accessible to unapproved individuals or third parties.

Hub Seattle cannot ensure that all private communications and other personal information will never be disclosed in ways not otherwise described in this Privacy Policy. By way of example (without limiting the foregoing), Hub Seattle may be forced to disclose personal information to the government or third parties under certain circumstances, third parties may unlawfully intercept or access transmissions or private communications, or users may abuse or misuse personal information that they collect from the impacthubseattle.com website. Therefore, although Hub Seattle uses industry standard practices to protect privacy, Hub Seattle does not promise, and Members should not expect, that personal information or private communications will always remain private.
